1. Acceptance of Terms
By accessing and using ProVerify's electronic signature platform ("Service"), you accept and agree to be bound by the terms and provisions of this agreement. These Terms of Service ("Terms") constitute a legally binding agreement between you and ProVerify, LLC ("Company," "we," "us," or "our").
If you do not agree to abide by these terms, please do not use this service. We reserve the right to update these terms at any time, and we will notify you of significant changes through email or prominent notice on our platform.
2. Description of Services
ProVerify provides a comprehensive electronic signature platform that enables users to:
- Send, sign, and manage documents electronically with legally binding signatures
- Create and customize signature workflows for single or multiple signers
- Track document status in real-time with detailed audit trails
- Store and organize signed documents securely in the cloud
- Integrate with third-party applications through our API
- Generate compliance reports and certificates of completion
- Access templates for common document types
- Collaborate with team members on document preparation and management
Our services comply with the Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA), and international electronic signature laws including eIDAS in the European Union.
3. User Accounts and Registration
To access certain features of our Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate
- Keep your password secure and confidential
- Accept full responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
- Use only one account per individual or organization
- Ensure you have the authority to bind your organization if registering on behalf of a company
You must be at least 18 years old to create an account. If you are registering on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
4. Acceptable Use Policy
You agree to use ProVerify only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Use the service for any illegal, fraudulent, or unauthorized purpose
- Transmit any content that is harmful, threatening, abusive, or offensive
- Upload documents containing malware, viruses, or malicious code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the service or servers
- Use automated systems to access the service without permission
- Reverse engineer, decompile, or disassemble any part of the service
- Remove or alter any proprietary notices or labels
- Use the service to send spam or unsolicited communications
- Violate any applicable laws or regulations
5. Document Handling and Storage
When you upload documents to our platform:
- You retain all ownership rights to your documents and content
- You grant us a limited license to process, store, and transmit your documents as necessary to provide the service
- You represent that you have the right to upload and share the documents
- You are responsible for ensuring document content complies with applicable laws
- We will store your documents securely using industry-standard encryption
- You can download or delete your documents at any time
- We may retain documents for legal compliance purposes even after account termination
6. Payment Terms and Billing
For paid services:
- Fees are charged in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- You authorize us to charge your payment method for all fees
- You are responsible for all taxes associated with your use of the service
- We may change our fees with 30 days' notice
- Failure to pay may result in service suspension or termination
- You must update payment information to maintain uninterrupted service
7. Privacy and Data Protection
Your privacy is important to us. Our comprehensive Privacy Policy explains:

The ProVerify platform and all related intellectual property are owned by us or our licensors:
- We retain all rights to our software, trademarks, and proprietary technology
- You receive a limited, non-exclusive license to use our service
- You may not copy, modify, or distribute our software
- All feedback you provide may be used by us without compensation
- You must respect third-party intellectual property rights
- We will respond to valid DMCA takedown notices
9. Service Availability and Support
We strive to provide reliable service but cannot guarantee 100% uptime:
- We aim for 99.9% uptime but may experience occasional outages
- Scheduled maintenance will be announced in advance when possible
- We provide customer support during business hours
- Emergency support is available for critical issues
- We may modify or discontinue features with reasonable notice
- Service level agreements are available for enterprise customers
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the amount you paid us in the past 12 months
- We are not liable for indirect, incidental, or consequential damages
- We do not warrant that the service will be error-free or uninterrupted
- You use the service at your own risk
- We are not responsible for third-party content or services
- Some jurisdictions do not allow liability limitations, so these may not apply to you
11. Indemnification
You agree to indemnify and hold harmless ProVerify, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service, violation of these Terms, or infringement of any third-party rights.
12. Termination
Either party may terminate this agreement:
- You may terminate your account at any time through your account settings
- We may terminate your account for violation of these Terms
- We may suspend service immediately for serious violations
- Upon termination, your right to use the service ceases immediately
- You may download your documents for 30 days after termination
- Legally binding signatures remain valid after termination
- Certain provisions of these Terms survive termination
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of Tennessee, United States:
- Any disputes will be resolved in the courts of Davidson County, Tennessee
- You waive any right to a jury trial
- We encourage informal resolution of disputes before litigation
- Class action lawsuits are not permitted
- Any claims must be brought within one year of the cause of action
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the service. Your continued use of the service after changes take effect constitutes acceptance of the new Terms.

16. Miscellaneous
